Directors & Officers (D & O) Liability

  • Categories: Law

In recent years several cases concerning the liability of directors and officers have courted controversy. Arguments raised in such discussions oscillate between two extremes: on the one hand, the need for governing bodies to give a space to entrepreneurial discretion and on the other hand to ensure the protection of investors in and creditors of a company from the consequences of disadvantageous decisions by those bodies. In light of the geographical dispersal of the above stakeholders, the study offers a comparative insight into the liability of directors and officers in 10 key European jurisdictions (in particular, Austria, Czech Republic, Germany, Italy, the Netherlands, Norway, Poland, Spain and Switzerland) and 4 non-European jurisdictions (namely Brazil, Israel, Turkey and the United States). Amongst other things it investigates existing company law principles on the topic and examines their interaction with tort law and other fields with a view to suggesting principles for better stakeholder protection. National reports are complemented by an economic analysis and insurance, conflict of laws and comparative reports. The study also benefits from case study analyses.

This book aims to investigate the way in which personality rights are protected in China through a comparative and cross-cultural lens drawing on perspectives from Europe and elsewhere in the world. Currently, the question whether or not to incorporate a special law on personal rights – the right to life, the right to health, and the rights to reputation and privacy – into a future Chinese Civil Code is heatedly debated in the Chinese legal community. The essential topics that are addressed in this book include general issues of personality rights, personality rights in Constitutional law, personality rights in private law, the legislative development of personality rights in China, case...

Introduction to Hungarian Law

  • Categories: Law

About this book: Introduction to Hungarian Law provides a basic knowledge of legal concepts of Hungary, with special emphasis on practical issues. Hungary’s historical connection to the European legal tradition has enabled the country’s legal system to overcome the legal gap caused by political developments after the Second World War. This practical book, far from a simple second edition of the volume published more than ten years ago, details the full-fledged legal system that has been established prior to and since Hungary became a member of the European Union in 2004, and it contains information concerning the existing legal system. This book provides a comprehensive overview of all m...

Compulsory Liability Insurance from a European Perspective

  • Categories: Law

Statutory obligations to take out liability insurance are, in practice, the most important means to ensure compensability of damage arising from dangerous activities. However, in contrast to the significant practical impact, academic research on the topic has not been extensive so far. This study, therefore, undertakes a comprehensive survey of compulsory liability insurance from nine national perspectives (Austria, Belgium, the Czech Republic, Finland, Germany, Hungary, Italy, Switzerland, and the United Kingdom) and takes constitutional and European law (four freedoms, European Convention on Human Rights) as well as the Principles of European Insurance Contract Law (PEICL) into account. It...

Crisis Patient Prioritisation and the Law: The Pandemic Experience

  • Categories: Law

The allocation of scarce health resources remains a persistent and critical challenge for global health systems. The Covid-19 pandemic brought this issue to the forefront on an unprecedented scale, testing even the most robust health systems of industrialised nations. Depletion of resources, particularly in intensive care units, forced daily triage decisions. Each country, facing its unique circumstances, had to devise its own solution to the sudden calamity. While universal principles applied, the book presents eleven comprehensive national reports from Europe, North and South America, and Africa. These reports are structured to facilitate a nuanced comparison of individual strategies as we...
